Software Terms of Use

By installing, accessing, or using WaveMigrate software, you agree to these terms. If you use the software for an organization, you confirm that you are authorized to accept these terms for it. A signed agreement or order between you and WaveMigrate controls if it conflicts with these terms.

1. Software license

WaveMigrate grants you a limited, non-exclusive, non-transferable license to install and use the software for your organization’s internal business purposes, within the users, devices, tenants, workloads, and license period stated in your order or license notice. All WaveMigrate versions include the same fully functional software. The free trial allows up to two mailbox migrations. Paid license scope is stated in your order or license notice. All other rights are reserved.

2. Acceptable use

You must use the software lawfully and only within your license. You may not resell, sublicense, rent, or redistribute it; remove ownership notices; bypass security controls; interfere with its operation; or reverse engineer it except where the law does not allow that restriction.

3. Your systems and data

You retain ownership of your content and migration data. You authorize the software to access and process that data as needed to perform the actions you initiate. You are responsible for having the rights and permissions required to use your systems and data, protecting your credentials, keeping appropriate backups, and reviewing migration results.

WaveMigrate does not sell your content or migration data. Applicable privacy notices and any data processing agreement describe how information is collected, stored, used, and shared. You are responsible for following the terms and security requirements of Microsoft and other connected services.

4. Confidentiality and ownership

Each party must protect the other party’s non-public information using reasonable care and use it only for the software relationship. The software, its design, documentation, and related intellectual property belong to WaveMigrate or its licensors. These terms do not transfer ownership to you.

5. Third-party services

The software may connect to Microsoft 365 and other third-party services. Those services are governed by their providers’ terms. WaveMigrate is independent and is not affiliated with Microsoft.

6. Updates and support

Updates and support are provided only as stated in your order or a separate support agreement. Unless an agreement says otherwise, WaveMigrate does not promise a particular support response time or uninterrupted availability.

7. Ending or suspending use

Your right to use the software ends when your license expires or is terminated. WaveMigrate may suspend access if necessary to address a security risk, unlawful use, or a material breach of these terms. When your license ends, stop using the software and remove copies you control. You remain responsible for retaining or deleting your own data.

8. Warranty disclaimer

To the fullest extent permitted by law, the software is provided “as is” and “as available.” WaveMigrate disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Migration results must be reviewed and verified by you.

9. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, or data. WaveMigrate’s total liability relating to the software will not exceed the fees you paid for it during the 12 months before the event giving rise to the claim. These limits do not apply where the law prohibits them.

10. Governing law

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Courts located in Florida will hear disputes relating to these terms, unless applicable law requires another venue.

11. Changes and contact
